Overseas entity compliance

The Register of Overseas Entities requires foreign companies owning UK property or land to disclose beneficial owners. Imperium is an authorised agent at Companies House enabling us to file new applications, renewals and removals. We guide overseas clients through identity-verification, Companies House registration, and annual updates and filing the submissions.

Who must register?

Any non-UK legal entity holding freehold or long-leasehold UK property acquired after January 1999 (England/Wales) or December 2014 (Scotland).

What information is required?

Entity details, overseas register, beneficial owners, and/or managing officers. Evidence must be verified by a UK-supervised agent such as Imperium.

When are updates due?

An annual update statement is required within 14 days of the anniversary of initial registration, even if nothing changes.

What are the penalties for non-compliance?

Daily fines and restrictions on property transfers. Imperium tracks deadlines to eliminate risk.
